Who We Are

SecRep B.V. is a Securitisation Repository authorised and supervised by the European Securities and Markets Authority (ESMA). We provide secure, regulated services for the collection, storage, and dissemination of data and documentation relating to European Union securitisations, in accordance with Regulation (EU) 2017/2402 (the Securitisation Regulation) and related Technical Standards, which came into force on the 1st January 2019.

SecRep supports transparency and regulatory oversight in the securitisation market by acting as a trusted, independent repository for securitisation information. SecRep is also compliant with The Digital Operational Resilience Act (DORA), an EU regulation that started to apply from 17th January 2025.

Our Role in the Market

Under the Securitisation Regulation, issuers of public EU securitisations are required to report prescribed data and documentation to a regulated securitisation repository. SecRep B.V. fulfils this role by:

  • Receiving securitisation data and documentation from issuers or their delegated reporting entities.
  • Verifying the completeness and consistency of uploaded securitisation data.
  • Making information available to entitled data recipients, including regulators and market participants, as defined by law.

Through these services, SecRep helps ensure consistent access to high‑quality securitisation information while supporting market transparency and confidence.

Regulation and Supervision

SecRep B.V. was authorised by ESMA as a securitisation repository with effect from 30 June 2021. Further information on this can be found directly on ESMA's website under Securitisation. Our activities are conducted under ESMA’s ongoing supervision and in line with applicable EU regulatory and technical standards.

SecRep B.V. is part of a wider group that includes SecRep Limited, a UK‑based securitisation repository registered with and supervised by the UK Financial Conduct Authority (FCA). EU and UK services are delivered through separate legal entities, each subject to its respective regulatory regime.

Our History and Ownership

SecRep Limited was incorporated in 2019 to provide securitisation repository services to the UK market. Shortly thereafter, SecRep B.V. was launched to provide equivalent services within the European Union.

Both entities are subsidiaries of SecRep Holdings Limited. SecRep Holdings Limited share common ownership with EuroABS Limited. However each company operates with independent corporate governance, IT systems, and regulatory oversight.

Legal Structure

  • SecRep B.V. is a private limited company incorporated in the Netherlands and registered with the Dutch Chamber of Commerce.
  • SecRep Limited is a private limited company incorporated in the United Kingdom, providing outsourced administration and technology services.

SecRep Holdings Limited is the group holdings company, incorporated in the United Kingdom. SecRep Limited and SecRep B.V. are subsidiaries of SecRep Holdings Limited.

Governance and Oversight

SecRep B.V. operates under a robust corporate governance framework designed to meet regulatory expectations and support the safe and effective operation of a regulated financial market infrastructure.

The company has a two‑tier governance structure, comprising:

  • A Supervisory Board, responsible for oversight and strategic supervision.
  • A Management Board, responsible for day‑to‑day management and regulatory compliance.

Dedicated committees support the boards in areas such as risk management, internal controls, and remuneration.

Security and Data Protection

Protecting data is fundamental to SecRep’s role. SecRep B.V. applies strong information security and data protection measures to safeguard the confidentiality, integrity, and availability of information.

Personal data is processed in accordance with the General Data Protection Regulation (GDPR). Data held within the securitisation repository is encrypted, subject to strict access controls. These measures reflect the sensitivity of securitisation data and the regulatory standards applicable to securitisation repositories.
